Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you and GenText AI, Inc. ("Company," "we," "us," or "our") regarding your use of LexDraft, including our website, product, and services (the "Service").
By accessing, creating an account, or using LexDraft in any way, you agree to be bound by these Terms. If you do not agree to all provisions of these Terms, you may not use the Service.
We may update these Terms from time to time. Changes will be effective when posted to the Service. Your continued use of LexDraft after updates constitutes acceptance of the modified Terms.
2. Service Description
LexDraft is a Microsoft Word add-in powered by artificial intelligence that assists users in drafting, reviewing, and improving legal documents. The Service provides:
- AI-powered document analysis and suggestions
- Legal document templates
- Clause generation and modification assistance
- Document review and quality checks
- Access to reference guides and documentation
LexDraft is designed to assist and enhance the legal drafting process but does not provide legal advice. Users remain responsible for reviewing, understanding, and ultimately approving all document content. You should consult with qualified legal professionals before executing documents generated or modified with LexDraft.
3. Account & Registration
Account Creation
To use LexDraft, you must create an account through Microsoft 365 authentication. You are responsible for providing accurate, complete, and current information during registration.
User Credentials
You are solely responsible for maintaining the confidentiality of your account credentials. You agree to use your account only for lawful purposes and in compliance with these Terms. You are liable for all activity that occurs under your account.
Authorization
By creating a LexDraft account, you authorize us to access your Microsoft 365 account information necessary to provide the Service. You may revoke this authorization at any time by disconnecting LexDraft from your Microsoft account.
Prohibited Uses
You agree not to use the Service:
- For illegal purposes or in violation of any laws
- To harass, threaten, or harm others
- To distribute malware, spyware, or other malicious code
- To reverse engineer, decompile, or attempt to discover the source code
- To access accounts or systems without authorization
- To interfere with the Service's functionality or security
- To spam or send unsolicited communications
- To create multiple accounts for deceptive purposes
4. Pricing & Payment
Pricing Plans
LexDraft offers both free and paid subscription plans. Pricing, features, and limitations for each plan are displayed on our pricing page and in the Service.
Free Trial & Freemium
We may offer a free trial or free tier with limited functionality. Free access may be time-limited or feature-limited. We reserve the right to modify or discontinue free offerings at any time.
Paid Subscriptions
If you choose a paid plan, you agree to pay the subscription fees according to the selected billing cycle (monthly, annual, etc.). Payments are processed through third-party payment processors.
Billing & Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel. You authorize us to charge your payment method for renewal fees. We will notify you before charging you for renewal.
Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months or unused portions of your subscription.
Price Changes
We may change our pricing with 30 days' notice. Price changes take effect at the renewal of your subscription. If you do not accept the new pricing, you may cancel your subscription.
Taxes
You are responsible for any applicable taxes on your subscription. If you are tax-exempt, you must provide appropriate documentation.
5. Intellectual Property
LexDraft Intellectual Property
LexDraft, including its design, functionality, code, and content, is the intellectual property of GenText AI. All rights are reserved. You are granted a limited, non-exclusive, non-transferable license to use LexDraft in accordance with these Terms.
User-Generated Content
You retain ownership of content you create using LexDraft. However, you grant us a limited license to use your documents as necessary to provide the Service, improve our AI models (anonymized and aggregated), and comply with legal requirements.
Feedback
If you provide feedback, suggestions, or feature requests, you grant us the right to use this feedback without compensation or attribution. You acknowledge that we may have similar feedback from other users and are not obligated to implement your suggestions.
Restrictions
You may not:
- Copy, modify, or create derivative works of LexDraft
- Reverse engineer, decompile, or disassemble the Service
- Remove or obscure any proprietary notices
- Use LexDraft to create competing products
- Sublicense or resell access to the Service
6. Limitations of Liability
Disclaimer of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GENTEXT AI BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of revenue, profits, or business opportunities
- Loss of data or damage to documents
- Business interruption or downtime
Even if we have been advised of the possibility of such damages.
Liability Cap
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
Exceptions
These limitations do not apply to:
- Your indemnification obligations
- Our indemnification of you
- Either party's violations of the other's intellectual property rights
- Our gross negligence or willful misconduct
7. Disclaimers
As-Is Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. GENTEXT AI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
No Legal Advice
LexDraft is NOT a substitute for legal advice from a qualified attorney. The Service is provided for informational and assistance purposes only. You are solely responsible for reviewing and approving all document content. You should consult with a licensed attorney before executing any legal documents.
No Guarantee of Accuracy
While we strive to provide accurate and helpful suggestions, we do not guarantee that the Service's analysis or suggestions are accurate, complete, or suitable for your specific situation. You are responsible for verifying all content and ensuring compliance with applicable laws.
Third-Party Services
LexDraft integrates with Microsoft 365 and other third-party services. We are not responsible for the availability, functionality, or security of these third-party services. Your use is subject to their terms and conditions.
8. Termination
Termination by You
You may terminate your LexDraft account at any time by requesting deletion through your account settings or contacting support. Upon termination, we will delete your account data within 30 days as described in our Privacy Policy.
Termination by Us
We may suspend or terminate your account if you:
- Violate these Terms
- Engage in illegal or harmful activity
- Infringe on intellectual property rights
- Fail to pay subscription fees
- Are inactive for an extended period
Effect of Termination
Upon termination, your right to use LexDraft immediately ceases. You may request a copy of your data before deletion. Sections 5 (Intellectual Property), 6 (Limitations), 7 (Disclaimers), 9 (Governing Law), and this section survive termination.
9. Governing Law & Dispute Resolution
Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Jurisdiction & Venue
You agree that any legal action or proceeding arising from or relating to these Terms shall be brought exclusively in the state or federal courts located in California. You consent to the personal jurisdiction of these courts.
Dispute Resolution
Before initiating litigation, we encourage you to contact us to attempt informal resolution. If we cannot resolve a dispute, you and GenText AI agree to binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules, with arbitration conducted in California.
Class Action Waiver
You agree not to participate in class action lawsuits against GenText AI. Any arbitration or legal action must be brought in your individual capacity, not on behalf of a class or group.

Entire Agreement
These Terms constitute the entire agreement between you and GenText AI regarding your use of LexDraft and supersede all prior agreements, understandings, and negotiations.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid.
No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by our authorized representative.
Assignment
You may not assign these Terms or your rights under them without our written consent. We may assign these Terms and our rights to any third party at our discretion. Any assignment without consent is void.
Changes to Terms
We may update these Terms at any time. The "Effective Date" will indicate the date of the most recent update. Material changes will be notified by email or prominent notice on the Service. Your continued use constitutes acceptance.
