AI for healthcare transactions lawyers: provider agreements, BAAs and deal documents in Word

Healthcare transactions lawyers review agreements that look ordinary but carry regulatory risk: physician employment and professional services agreements, medical director agreements, management services agreements, space and equipment leases, business associate agreements and practice acquisitions. A missing writing requirement or a compensation formula tied to referrals can turn a routine contract into a compliance problem. An AI assistant in Word can do the first pass and the markup, while you make the regulatory calls.

Where AI helps in a healthcare practice

  • First-pass review of provider and vendor agreements, with missing standard terms and one-sided clauses flagged.
  • Consistent checklists. Run the same points on every agreement with a referral source, so nothing depends on memory.
  • Clean defined terms. "Services", "Term", "Compensation" and "Protected Health Information" have to line up with the exhibits. Rule-based checks catch undefined terms and broken references.
  • Drafting. LexDraft has employment and consulting agreement drafting workflows and a healthcare clause library, so a first draft of a physician or consulting agreement can start in Word.

Fraud and abuse: what to check

  • Anti-Kickback Statute (42 U.S.C. 1320a-7b(b)). It is a criminal statute that reaches anything of value paid to induce federal health care program referrals. Arrangements with referral sources should fit a safe harbor where possible. The personal services and management contracts safe harbor (42 CFR 1001.952(d)) and the space and equipment rental safe harbors (1001.952(b) and (c)) expect a signed writing that covers all the services or space, a term of at least one year, and compensation terms set in advance, consistent with fair market value and not tied to the volume or value of referrals.
  • Stark Law (42 U.S.C. 1395nn). If a physician refers designated health services to an entity with which the physician has a financial relationship, the arrangement must meet an exception in 42 CFR 411.357, such as rental of office space, personal service arrangements or fair market value compensation. Stark is a strict liability statute, so a missing signature or an expired term matters.
  • Exclusion. Ask for a representation that neither party nor its personnel is excluded from federal health care programs, with a duty to notify and a right to terminate.

Business associate agreements: what to check

  • The required terms in 45 CFR 164.504(e): permitted uses and disclosures, safeguards, reporting, subcontractor flow-down, access and amendment rights, return or destruction of PHI on termination, and HHS access to books and records.
  • Security Rule terms in 45 CFR 164.314.
  • Breach notice. The rule requires a business associate to notify the covered entity without unreasonable delay and no later than 60 days after discovery (45 CFR 164.410). Covered entities often negotiate a shorter contractual deadline.
  • Indemnity, cyber insurance and who pays for breach notification.

State rules that change the answer

  • Corporate practice of medicine. States such as California, Texas and New York restrict lay ownership of medical practices, which is why many deals use a management services organisation and a professional corporation. Check fee and control terms in the management agreement.
  • Transaction notice laws. A growing number of states require advance notice of certain health care transactions. California, for example, requires notice to its Office of Health Care Affordability (Health and Safety Code 127507), and Oregon runs a review program for health care transactions.
  • Physician non-competes. Several states limit them. Texas Business and Commerce Code 15.50 sets conditions for physician covenants, including a buyout right.

A workflow in Word with LexDraft

  1. Open the agreement in Word and open LexDraft in the side panel.
  2. Select the governing state and run the review. Findings come back graded Critical, High, Medium or Low.
  3. Run the defined-term and cross-reference checks, especially against the compensation exhibit.
  4. Accept the redlines you agree with as native tracked changes and add your own.
  5. Check the writing, term and compensation points above yourself before the agreement is signed.

Contract review rarely needs patient information. Remove any protected health information from a document before you run an AI review.

What LexDraft does not do

LexDraft does not set fair market value, run exclusion screening, decide whether a safe harbor or exception is met, or give legal advice. It has no dedicated healthcare playbook. AI review can miss issues or be wrong; qualified counsel must review every output.

Using AI ethically in this practice

ABA Formal Opinion 512 (July 2024) and many state bars say the same four things: understand the tool, protect client confidences, check every output, and bill fairly for AI-assisted work. Our state-by-state guide to AI ethics for solo lawyers summarises the guidance in 20 states and D.C.

Frequently asked questions

Can AI review a physician services agreement?

Yes, as a first pass. LexDraft reviews the agreement in Word for risky clauses, missing standard terms and state-specific red flags, and proposes tracked-change redlines. Whether the arrangement meets a Stark exception or an Anti-Kickback safe harbor is a judgment you make.

Does LexDraft check business associate agreements?

LexDraft reviews any contract you open in Word, including a BAA. It has no dedicated BAA playbook, so check the 45 CFR 164.504(e) terms against the checklist on this page.

Should I put patient information into an AI tool?

Contract review rarely needs it. Remove protected health information before review. LexDraft does not use customer documents to train models, and document context is held only in a short-lived cache that expires after about 60 minutes of inactivity.

Does LexDraft give regulatory advice?

No. LexDraft speeds up routine review and drafting work. Qualified counsel must review every output and make the fraud and abuse and HIPAA calls.
